• Use this Site for any unlawful purpose

No warranties

Limitation of liability

To the fullest extent permitted by law, Upgrade with AI and its owner shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of this Site or reliance on any content found here.

Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Changes to these terms

We may update these Terms at any time. Changes take effect immediately upon posting. Continued use of the Site after any update constitutes your acceptance of the revised Terms.

Paid strategy sessions

Booking a Strategy Session requires payment of a session fee, disclosed at the time of booking. [If you close into a Build within a disclosed window of the session, that fee is credited in full toward the Build cost, as disclosed on the call.] Outside that window, the session fee is non-refundable.

Build and Build + Manage engagements

A Build is a fixed-fee, one-time engagement to design, build, and deliver one or more AI employees as scoped in your signed agreement. Every Build includes a required 30-day period immediately following delivery, during which we provide hands-on training, answer questions, and make adjustments within the originally agreed scope — this is included in the Build fee, not billed separately. New requests or work outside that original scope are quoted separately.

After the 30-day period, you may choose to continue on Build + Manage, a month-to-month retainer where we continue operating and maintaining the AI employee(s) for you.

Payment terms

Payments for Strategy Sessions, Builds, and Build + Manage engagements are processed securely through Stripe. We do not store full payment card details ourselves; Stripe handles that directly.

Builds are paid in two installments: 50% is due at signing, and the remaining 50% is due once the build is finalized. We’ll notify you when your build is ready; the final payment is due before your delivery appointment is scheduled, and nothing is handed over before that payment clears.

Build + Manage, once you choose to continue past the required 30-day period, is billed in full at the start of each month. Late payment may pause work until resolved.

Cancellation & refunds

All fees are final. The 50% due at signing is non-refundable if you change your mind once work has begun — it reflects the time and resources committed to your engagement from the outset. The 50% due on delivery is also non-refundable once paid; by that point the build has been completed and delivered, and there is no product to return.

Build + Manage runs month-to-month after the required 30-day period. You may cancel at any time — there is no notice period required. Each month is billed in full at the start of the billing period; if you cancel, service continues through the end of the period you’ve already paid for. A refund of that month’s payment is available only if requested within 24 hours of the charge. Outside that window, the payment is final.

We do not offer a guarantee, money-back or otherwise, beyond what is stated here. This reflects the dedicated time, custom work, and resources committed to every engagement from the start, and is standard practice for done-for-you AI and consulting engagements.

Client responsibilities

You agree to provide timely access to the information, systems, and personnel reasonably required to deliver the engagement. Delays caused by missing access or input may extend timelines accordingly.

Ownership of deliverables
